These Terms of Service ("Terms") form a legally binding agreement between you and Charalampos (Babis) Ioannidis, a sole trader trading as SpliceHub ("SpliceHub", "we", "us" or "our"). Our trading address for notices and correspondence is: 3rd Floor, The Old Stock Exchange, 34 St Nicholas St, Bristol, BS1 1TG. Our email address is: info@splicehub.co.uk. By creating an account, buying a membership or using the platform, you confirm that you have read, understood and agree to these Terms. If you do not agree, you must not use the service.

1. The Service

SpliceHub is a UK-based membership platform that connects subscribing Individuals and Businesses to enable member-exclusive discounts and benefits.

The membership service includes providing members with access to participating Businesses, enabling the generation of member-specific promotional codes, and facilitating the redemption of member-exclusive discounts and benefits.

Subscribed Individual members may: (a) search for participating supplier Businesses; (b) view member-only discount information; (c) generate digital membership proof and short-lived promo codes; and (d) file membership-related complaints where a participating Business does not honour a SpliceHub membership benefit.

Subscribed Business members may: (a) list their business on the platform; (b) offer SpliceHub member discounts or benefits; (c) receive and validate short-lived promo codes; and (d) access Business profile tools made available by SpliceHub.

Access to the full service requires an active paid membership unless we state otherwise. We may modify, suspend or discontinue any feature of the service where reasonably necessary, including for security, legal, operational or commercial reasons.

2. Our Role

SpliceHub operates as a membership directory and discount-access platform. We are not a party to any transaction, contract, quote, sale, booking, supply of goods or supply of services between an Individual and a Business.

We do not act as agent, broker, payment intermediary, reseller or guarantor for any Business or Individual listed on the platform.

A listing on SpliceHub does not mean that we endorse, verify or guarantee the quality, legality, solvency, conduct, pricing or reliability of that Business or Individual.

You remain responsible for carrying out your own checks before entering into any transaction with a Business or Individual found through SpliceHub. This includes checking identity, reviews, legal status, insurance, qualifications, trading terms, price, suitability and any other matters relevant to your transaction.

3. Eligibility

You must be at least 18 years old to create an account. The service is intended for users resident in the United Kingdom and Businesses lawfully operating in the United Kingdom.

By registering a Business profile, you confirm that: (a) the Business is lawfully trading in the UK; (b) the information you provide is accurate and not misleading; (c) you are the owner or an authorised representative of that Business; and (d) you have authority to bind that Business to these Terms.

We may refuse, suspend or remove access where we reasonably believe that these eligibility requirements are not met.

4. Accounts

You are responsible for keeping your login credentials secure and for all activity under your account.

You must provide accurate, current and complete information. You must not impersonate another person or business, create an account using false information or use the platform in a misleading way.

One account may be associated with one Individual profile and one or more Business profiles where the account holder is authorised to manage those Business profiles. A Business profile must only be used for Business purposes. An Individual profile must only be used for personal consumer use.

You must notify us immediately at info@splicehub.co.uk if you suspect unauthorised access to your account.

5. Individual Memberships

Individual membership plans and prices are shown on the pricing page before purchase.

Plans may include: (a) a trial or introductory membership; (b) a recurring monthly subscription; and (c) a recurring annual subscription.

Recurring subscriptions renew automatically until cancelled. The renewal period, price and billing frequency will be shown before purchase.

Payments for Individual memberships are processed by Stripe or another payment provider shown at checkout. We do not store full card numbers. Access is granted after successful payment confirmation.

6. Business Memberships

Businesses apply for annual membership and are subject to manual approval.

The Business membership fee, payment date, membership period and any agreed discount commitment must be confirmed before access is granted.

Unless we agree otherwise in writing, Business membership is paid by bank transfer. Access is granted only after we confirm receipt of cleared funds.

Business memberships are business-to-business arrangements and are non-refundable once access has been granted, except where required by law or expressly agreed by us in writing.

7. Prices, VAT and Payment

Prices are shown on the pricing page, checkout page, invoice or application page before payment.

We are not currently VAT registered and VAT is not charged unless stated otherwise.

You are responsible for ensuring that your payment details are valid and up to date. If a payment fails, we may suspend or restrict access until payment is made.

8. Your Statutory Cancellation Right

This clause applies to Individual users acting as consumers.

When you buy an Individual membership online, you normally have the legal right to cancel within 14 days. Because your membership begins immediately after payment, we will begin providing the membership services during the statutory cancellation period if you ask us to do so.

If you exercise your statutory cancellation right after asking us to begin providing the membership services immediately, we may deduct an amount reflecting the value of the membership services supplied before cancellation, as permitted by law.

Where the law says you cannot lose a cancellation right, nothing in these Terms removes that right. Outside any statutory cancellation right, payments are non-refundable unless we decide otherwise or the law requires otherwise.

Nothing in these Terms affects your statutory rights, including rights relating to services or digital content that are not as described, not of satisfactory quality or not fit for purpose.

9. Cancelling a Recurring Individual Subscription

You may cancel a recurring Individual subscription at any time through the account area or by contacting us at info@splicehub.co.uk.

Cancellation stops future renewals. Unless we state otherwise at cancellation, you will keep access until the end of the paid membership period.

We do not provide partial refunds for unused time unless required by law.

10. Cooldown Periods

SpliceHub may apply cooldown periods to protect the integrity of the platform and prevent abuse.

After a user-initiated cancellation of an Individual membership, a one-year re-subscription cooldown may apply. During this period, you may be prevented from buying a new Individual membership.

A Business that receives three accepted membership-related complaints within a rolling one-month period may be placed into a disciplinary cooldown. During this period, the Business may be removed from search results, prevented from reapplying and restricted from editing its profile.

We may also impose a manual cooldown, suspension or ban where we reasonably believe there has been abuse of the platform, fraud, attempted circumvention, misleading conduct, repeated complaints, breach of these Terms or a risk to other users. Cooldowns may last for up to three years depending on the seriousness of the issue.

Where we reasonably believe that a person is attempting to circumvent a cooldown period, membership restriction or other platform rule, we may refuse membership applications or terminate memberships associated with that person, including where different accounts, payment methods, email addresses, businesses, household members or other identifiers are used for the purpose of avoiding those restrictions.

You may still exercise your data protection rights during a cooldown. We may retain the minimum information necessary to enforce the cooldown, prevent abuse, handle disputes and meet legal obligations.

11. Membership Proof and Promo Codes

Digital membership proof and promo codes are personal to you and must not be transferred, sold, shared or used by anyone else.

Promo codes are short-lived and may be tied to a specific Business, transaction or membership benefit.

Using a promo code outside its validity period, using a code with the wrong Business, sharing a code with another person or presenting false membership proof is a material breach of these Terms.

A Business must not accept or record a promo code unless it is valid at the time of use and relates to that Business.

12. Business Listings and Discount Information

Businesses are responsible for ensuring that their profile information, contact details, trading information, discount terms and membership benefits are accurate, lawful and not misleading.

Businesses must clearly honour any SpliceHub discount or benefit they have agreed to provide unless: (a) the member is not eligible; (b) the promo code or membership proof is invalid; (c) the transaction falls outside the stated discount terms; or (d) there is a lawful and reasonable reason to refuse the transaction.

Businesses must not use SpliceHub to advertise unlawful goods or services, misleading offers, fake discounts or benefits they do not intend to provide.

We may edit, suspend or remove Business listings where we reasonably believe the listing is inaccurate, unlawful, misleading, unsafe or damaging to the platform.

13. Complaints Mechanism

The complaints mechanism is available to paid members only and is limited to complaints about SpliceHub membership benefits not being honoured, for example where a participating Business refuses a valid SpliceHub discount.

Complaints about product quality, service quality, delivery, workmanship, refunds, general customer service, fraud, payment disputes or any matter outside the SpliceHub membership benefit are outside the scope of the complaints mechanism.

Complaint outcomes are decided by SpliceHub administrators. Outcomes may include accepted, rejected, in progress or another status shown on the platform.

SpliceHub's complaints mechanism does not award compensation, refunds, damages or financial remedies against third parties. You remain responsible for pursuing any external legal, bank, police, Action Fraud, Trading Standards or other route that may be available to you.

You must not submit false, abusive, defamatory, vexatious or misleading complaints. Uploaded complaint evidence must be relevant and lawful. You must not upload images or documents that infringe privacy, confidentiality, intellectual property or any other rights.

14. User Content

You retain ownership of content you submit to the platform, including Business listing information, complaint text and uploaded evidence.

You grant us a non-exclusive, royalty-free licence to use, store, copy, display, process and moderate that content to operate the platform, provide the service, enforce these Terms, comply with law and handle disputes.

You are responsible for the content you submit. You must ensure that it is accurate, lawful and does not infringe any third-party rights.

15. Prohibited Conduct

You must not: (a) provide false, misleading or fraudulent information; (b) impersonate another person or business; (c) create multiple accounts to avoid restrictions; (d) share, sell or transfer membership benefits, IDs or promo codes; (e) submit false, vexatious, abusive or defamatory complaints; (f) scrape, crawl, copy or harvest data from the platform without permission; (g) reverse engineer, attack, overload or interfere with the platform; (h) attempt to bypass security, authentication, rate limits, cooldowns or payment controls; (i) use the service for unlawful, harmful, fraudulent or abusive purposes; or (j) upload malware, unlawful material or content that infringes another person's rights.

Breach of this clause may result in suspension or termination without refund where permitted by law.

16. Suspension and Termination

We may suspend, restrict or terminate your account or Business profile where we reasonably believe: (a) you have breached these Terms; (b) you have provided false or misleading information; (c) your use of the platform creates a legal, security, operational or reputational risk; (d) payment is overdue or has failed; (e) you are misusing membership benefits; or (f) suspension is needed to protect other users or the platform.

Where reasonable, we will give notice and an opportunity to respond. We may act without notice where urgent action is needed.

Termination does not affect rights and liabilities that arose before termination.

17. Availability and Changes to the Platform

We aim to keep the platform available but we do not guarantee uninterrupted or error-free access.

We may carry out maintenance, updates, security fixes and operational changes.

We are not liable for delays or failures caused by events outside our reasonable control, including hosting failures, payment provider issues, cyber incidents, internet outages, force majeure events or third-party service disruption.

18. Intellectual Property

All software, branding, design, text, databases, code, layout, trade marks and other intellectual property forming part of the SpliceHub platform are owned by us or licensed to us.

You may use the platform only for the purposes allowed by these Terms.

You must not copy, reproduce, sell, licence, modify, distribute, scrape or create derivative works from the platform without our prior written consent.

19. Third-Party Services

The platform may use or link to third-party services, including payment processors, authentication providers, hosting providers, email providers, analytics tools and external websites.

We are not responsible for third-party websites or services that we do not control.

Your use of third-party services may be subject to their own terms and privacy policies.

20. Liability

Nothing in these Terms limits or excludes liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) breach of your statutory rights where liability cannot be excluded; or (d) any other liability that cannot be limited or excluded by law.

If you use the platform as a consumer, we are responsible for foreseeable loss or damage caused by our breach of these Terms or our failure to use reasonable care and skill. We are not responsible for business losses suffered by consumers, including loss of profit, loss of business, business interruption or loss of business opportunity.

If you use the platform in a business capacity, then to the fullest extent permitted by law: (a) we exclude all implied conditions, warranties, representations and terms; (b) we are not liable for indirect, consequential or special loss; (c) we are not liable for loss of profit, revenue, business, goodwill, data or anticipated savings; and (d) our total aggregate liability is limited to the total amount you paid to SpliceHub in the 12 months before the event giving rise to the claim.

For the avoidance of doubt, we are not liable for losses arising from your dealings with third-party Businesses or Individuals found through the platform, except where the law says otherwise.

21. Fraud and Third-Party Dealings

If you suspect fraud, misrepresentation or criminal conduct by a Business or Individual found through the platform, you should report it to Action Fraud, your bank and any other relevant authority.

SpliceHub may review the relevant account or listing but our complaints mechanism cannot recover money, reverse payments or determine legal liability between you and a third party.

22. Changes to These Terms

We may update these Terms from time to time.

We will give at least 14 days' notice of material changes by email or through the platform where reasonably possible.

If you do not agree to updated Terms, you must stop using the service before the changes take effect. Continued use after the effective date means you accept the updated Terms.

23. Governing Law and Jurisdiction

If you use the service in a business capacity, these Terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.

If you use the service as a consumer, these Terms are governed by the laws of England and Wales, except where mandatory local consumer law gives you rights in Scotland or Northern Ireland. If you live in Scotland, you may bring proceedings in Scotland. If you live in Northern Ireland, you may bring proceedings in Northern Ireland.

Nothing in this clause limits consumer rights that cannot be excluded by law.
